These Terms of Service govern the provision of professional legal and advisory services by Cloudtoplex to clients that are cloud infrastructure providers, software-as-a-service operators, and related businesses. By engaging Cloudtoplex or using cloudtoplex.link, you agree to these terms. Cloudtoplex provides specialist guidance on regulatory compliance, contracts, data protection, intellectual property, and risk management tailored for the cloud sector. Our work scope is defined in engagement letters, proposals, or statements of work.

Eligibility to Use Services

Services are intended for corporate entities, authorized representatives, or individuals acting on behalf of businesses seeking legal support related to cloud operations. By accessing our services you represent that you are authorized to act for the entity you represent and that the information provided is accurate.

Users engaging Cloudtoplex must be of the age of majority under Thai law (20 years) or must engage services through a duly authorized representative who meets that requirement.

Services must be used for lawful purposes only. Clients must not submit materials or requests that facilitate illegal activity, infringement, or misuse of cloud infrastructure.

Cloudtoplex primarily serves clients operating in Thailand and the ASEAN region. Access to certain services may be restricted in jurisdictions subject to activity sanctions, export controls, or other legal limitations.

Account and Access

Where an account is required to access client portals, documentation, or deliverables, you are responsible for maintaining accurate account information and for all activity under your account.

You must provide complete and accurate information when creating or updating an account and promptly correct any inaccuracies.

Keep your account credentials secure. Notify Cloudtoplex immediately if you suspect unauthorized access. We may suspend access for security reasons.

Accounts are personal to the client and may not be transferred or assigned without prior written consent from Cloudtoplex.

If you believe your account has been compromised, notify Cloudtoplex immediately at cloudtoplex.link/contact and provide details to help us contribute.

Cloudtoplex may suspend or restrict access to services for accounts that violate these Terms, pose security risks, or for non-payment of fees under the associated engagement.

Services Provided

Cloudtoplex delivers legal and compliance services tailored to cloud companies, including contract drafting and review, privacy and data protection advisory, regulatory compliance mapping, dispute support, and training. Detailed service scopes, deliverables, timelines, and fees are set out in engagement letters or project agreements.

Scope changes requested by the client will be documented and may affect fees and timelines. Cloudtoplex will confirm changes in writing before proceeding where additional work or costs are necessary.

Service availability depends on resource allocation, client cooperation, and external factors such as regulatory processes. Cloudtoplex will make commercially reasonable efforts to meet agreed schedules but cannot control third-party timelines.

Rules of Use

Clients and users must comply with the following rules when using Cloudtoplex services and platforms.

  • Use services lawfully and in accordance with applicable regulations and contractual obligations.
  • Do not attempt to penetrate, disrupt, or interfere with Cloudtoplex systems, portals, or third-party services.
  • Do not submit fraudulent, defamatory, or infringing content for review or distribution.
  • Provide truthful, complete information necessary for Cloudtoplex to deliver services.
  • Respect confidentiality obligations and do not disclose privileged communications without authorization.
  • Comply with export control and sanctions laws when sharing technical or regulated information.
  • Follow any additional conduct requirements set out in engagement letters or client-specific policies.

Client Materials and User Content

Clients may provide documents, data, and other materials needed for Cloudtoplex to perform services. Such materials remain the property of the client unless otherwise agreed.

Clients retain ownership of their confidential information and any client-created content submitted for review, subject to any licenses granted herein.

By providing materials, the client grants Cloudtoplex a non-exclusive, revocable license to use, copy, and modify the materials solely to perform the agreed services and for related quality assurance.

Clients are responsible for ensuring they have the right to provide any materials and that those materials do not infringe third-party rights or violate applicable laws.

Cloudtoplex will return or securely destroy client materials following project completion or termination, in accordance with retention provisions in the engagement agreement and applicable law.

Intellectual Property

Cloudtoplex and its licensors retain ownership of intellectual property in methodologies, templates, legal memoranda, and platform software developed prior to or independently of client engagements. Client-specific deliverables intended as work product for the client will be assigned as specified in the engagement agreement.

  • Do not reproduce, distribute, or resell Cloudtoplex proprietary materials without express written permission.
  • Do not decompile, reverse engineer, or attempt to extract source code from Cloudtoplex platforms or tools.
  • Attribution and permitted use of deliverables will be governed by the engagement agreement; any broad reuse requires prior consent.

Paid Services and Fees

Fees for paid services are described in proposals, engagement letters, or invoices. Fees may be fixed, hourly, or based on milestones as agreed in writing.

Pricing is provided in local currency and reflects the scope of work at the time of proposal. Quotes are valid for the period specified therein and may be adjusted for changes in scope.

Payments are due as set out in the engagement agreement. Acceptable payment methods and invoicing details will be provided with the proposal. Late payments may incur interest or suspension of services.

Subscription services, if offered, are billed on the agreed cadence. Subscription terms, renewal, and termination rights will be set out in the subscription agreement.

Refunds, if applicable, are handled per the engagement agreement. Where refunds are permitted, any returned fees may be subject to deductions for work performed and reasonable administrative costs.

Clients may cancel engagements subject to the terms and notice requirements in the engagement agreement. Cloudtoplex may retain fees for work completed up to the cancellation date.

Clients are responsible for any taxes, duties, or withholdings associated with fees. Cloudtoplex will charge applicable taxes where required by law.

Cloudtoplex may adjust pricing for future work with notice. Existing, signed engagement agreements remain subject to their original terms unless mutually amended.

Non-payment may result in suspended access to services and collection actions. Cloudtoplex reserves the right to recover costs associated with collection and enforcement.

Professional Disclaimer

Cloudtoplex provides professional legal and compliance services tailored to cloud sector requirements. Advice is based on information provided by the client and on the law and facts at the time of delivery. Outcomes depend on specific circumstances, third-party decisions, and regulatory developments. Engagements do not extend beyond the scope agreed in writing.

Limitations of Liability

To the maximum extent permitted by applicable law, Cloudtoplex's liability for direct damages arising from the performance of services is limited to fees paid for the relevant engagement. Cloudtoplex is not liable for indirect, consequential, special, or punitive damages. Nothing in these Terms limits liability that cannot be lawfully limited.

Third-Party Providers

Cloudtoplex may rely on third-party providers for hosting, analytics, or supplementary services. Responsibility for third-party services is governed by the provider agreements; Cloudtoplex will coordinate with such providers but is not responsible for their independent acts.

Termination

Either party may terminate an engagement in accordance with the termination provisions of the engagement agreement. Termination does not relieve the client of obligation to pay fees for work performed up to the effective termination date.

Upon termination, Cloudtoplex will deliver outstanding work product and return or destroy client materials as agreed. Any rights and obligations that by their nature should survive termination will continue to apply.

Privacy and Data Protection

Cloudtoplex processes personal data in accordance with the privacy policy available at cloudtoplex.link/privacy. Clients must ensure lawful bases for sharing personal data with Cloudtoplex and comply with applicable data protection obligations.

Communications and Notices

Notices may be delivered by email, postal mail, or through client portals. Contact details for notices are set out in engagement documents and on cloudtoplex.link. Electronic communications are effective upon transmission, subject to receipt confirmation requirements in specific agreements.

Amendments to Terms

Cloudtoplex may update these Terms periodically. Material changes affecting service delivery or client rights will be communicated with reasonable notice. Continued use of services after changes constitute acceptance of the revised Terms where permitted by law.

Governing Law

These Terms and all engagements with Cloudtoplex are governed by the laws of Thailand. Disputes will be subject to the exclusive jurisdiction of the courts of Bangkok, unless parties agree to alternative dispute resolution.

Dispute Resolution

Parties will first seek to resolve disputes by good-faith negotiation. If unresolved, disputes may proceed to mediation or arbitration as provided in the engagement agreement, or to Thai courts where required by law.
